ARD Event Decor, LLC


  • Definitions: “Rental Items” or "Goods" means any items or equipment offered up by ARD Event Decor, LLC for hire or rent as well as items and equipment that are the subject of the booking. “Client” means any person, company, organization, agency, or its representative that contacts and books Rental Items from ARD Event Decor, LLC. "Your" means any person, company, organization, agency, or its representative that contacts and books rental items from ARD Event Decor, LLC "ARD Event Decor" means ARD Event Decor, LLC its representatives, owners or agents. “Supplier” or “We” or "Our" means ARD Event Decor, LLC its representatives, owners or agents. “Agreement of Services” or “Agreement” means this Agreement of Services “Terms” means these terms and conditions “Invoice” means itemized list of goods or services offered by the supplier to the client "Booking" or "Books" means the period of time once the Agreement has been signed, the (40%) forty percent non-refundable deposit has been made, the Client takes possession of items and/or a confirmation email has been sent by the ARD Event Decor. "Late Booking" means a booking that is made 20 or less days before the event date. "Event" means the occasion that the Rental Items are being rented for. This includes but not limited to weddings, parties, photoshoot, luncheon/brunch, repast, corporate event etc. "Days" means calendar days Monday thru Sunday including holidays and weekends.
  • ARD Event Decor, LLC (We) and (Client) agree to be bound by this Agreement of Services and these Terms and Conditions (Terms) for the Rental Items rented to the Client as outlined in the itemized invoice. By signing this Agreement the Client hereby agrees that no terms additional to or deviating from these Terms shall become part of the Agreement unless and until written acceptance of such additional or deviating terms, signed by an authorized representative of ARD Event Decor, LLC, has been issued to the Client. Client's acceptance of any Rental Items or Goods supplied by or on behalf of the Supplier shall without limitation, also constitute acceptance of these Terms.
  • Booking Confirmation/Fees and Payments: If setup and breakdown have been requested and paid for then the booking is for the length of the event as outlined in the invoice. If booking pickup and delivery items only (without setup and breakdown) the rental term is for the amount of days selected and paid for at booking time. The booking comes to an immediate end if the event time is shortened by the Client, venue or a situation beyond ARD Event Decor's control. No monetary refund will be issued for a shortened booking. A booking confirmation occurs once the Agreement has been signed, the (40%) forty percent non-refundable deposit has been made, the Client takes possession of items and/or a confirmation email has been sent by the ARD Event Decor. All fees are to be paid in US dollars by or before the date noted on this Agreement. Final payment is due no later than 10 days prior to your event. The exact date is noted at end of this Agreement. Events booked 20 or less days (late bookings) prior to the event date must be paid in full at the time the Agreement is signed. The (40%) forty percent non-refundable portion of the payment applies to late bookings as well.
  • Acceptance of Goods and Delivery: The Client shall inspect the Rental Items at the time of delivery. Unless Client provides ARD Event Decor with notice of any claim, shortages of or defects in the Goods, such Goods shall be deemed finally inspected, checked and accepted by the Client. The Client is responsible for obtaining any permits or licenses needed to use Rental Items at the location/venue being used. Client is also responsible for providing and obtaining safe and clear access to the delivery and retrieval location, including without limitation, ensuring all packaged items are able to be delivered through outside and indoor areas of ingress and egress. ARD Event Decor may refuse, without penalty to Us delivery and/or retrieval of the Rental Items if Client fails to provide safe means of ingress and egress.
  • Title and Risk of Loss: Title to any Rental Items rented to the Client shall remain with ARD Event Decor. Title to any Goods sold and risk of loss of such Goods passes to Customer upon delivery.
  • No Warranty: ARD Event Decor provides Goods "as is" without any warranty, expressed or implied, including no warranty of fitness for a particular purpose.
  • Disclaimer of Consequential and Incidental Damages: ARD Event Decor shall give notice to the Client as soon as possible should We be required to cancel an engagement because of extreme circumstances. Extreme circumstances include but are not limited to illness, accidents, riots, terrorist acts, pandemics and weather conditions. In the event of an extreme circumstance it shall be at ARD Event Decor's sole discretion to either (1) repay any deposit to the Client and cancel this agreement or (2) rebook the event at a time agreeable to the ARD Event Decor and the Client. Client agrees that in all circumstances, ARD Event Decor's liability shall be exclusively limited to an amount equal to the rental fee and that We shall not be liable for indirect or consequential damages arising from any breach of Agreement.
  • No Waiver: Forbearance or failure of ARD Event Decor to enforce any of the terms and conditions stated herein, or to exercise any right accruing from default of Client, shall not, affect or impair ARD Event Decor's rights arising from such defaults; nor shall forbearance or failure be deemed a waiver of ARD Event Decor's rights in case of any subsequent default of Client.
  • Termination, Cancellation and Modification: Except as otherwise provided herein, orders can not be terminated, cancelled or modified after acceptance of Clients booking by ARD Event Decor. Client may cancel a booking up to (7) seven days prior to delivery of rental items by 5:00 pm EST. No additional fees will be charged other then the forfeiture of the non-refundable (40%) forty percent booking deposit and any fees paid for custom items as long as the Client makes such cancellation in writing and the cancellation is acknowledged by ARD Event Decor. Client will be (100%) one-hundred percent responsible for the Agreement amount for any cancellation after 5:00 pm EST (6) six days prior to the pickup/delivery or event date and that (100 %) one-hundred percent will be immediately due to ARD Event Decor and charged to the Client.
  • Damage, Destruction and Loss: Client agrees to accept full responsibility and liability and Client shall defend, indemnify and hold ARD Event Decor harmless for any injury to any other person(s), for any damage to the property of any other person(s), and any other loss that may result through the use or misuse of the Rental Items. ARD Event Decor is not responsible for any damage or liability incurred by handling Clients or any other person's personal property.
  • Return of Rental Items: Client agrees to return all Rental Items to ARD Event Decor at the place, time and date specified in this Agreement or email communication. The Client agrees and acknowledges that if Client fails to return all Rental Items to ARD Event Decor at the place, time and date specified in this Agreement or email communication or if Client fails to make all Rental Items available for pickup at the place, time and date specified in this Agreement or email communication, then the Client is subject to additional service charges including without limitation ARD Event Decor's consequential and incidental damages regarding any attempt by ARD Event Decor to retrieve the Rental Items and the retail replacement, shipping and fees of such Rental Items.
  • No Return of Purchased Items: Client shall not be entitled to return to or obtain a refund from ARD Event Decor for any purchased Goods including without limitation custom/personalized items, batteries, candles etc., whether such items are used or unused.
  • Rental Item Wear and Tear: Due to the nature of Rental Items, ARD Event Decor frequently cleans or repairs our Rental Items. While we strive to give you the best quality products every time, please note that there may be signs of "ordinary wear and tear" and that we can not guarantee new or like-new quality.
  • Dye Lot Variances and Substitutions: There may be some variance in color, pattern or material between batches and dye lots of products or equipments. Please note that we cannot offer refunds and/or exchanges for any variance related issues due to the variables that occur during the manufacturing and processing of products. Should a requested product become unavailable at any time, ARD Event Decor reserves the right to substitute alternative products to an order. ARD Event Decor will make every effort to provide a substitution comparable in quality or functionality to the requested product.
  • Marketing and Promotion: The Client agrees to allow ARD Event Decor to share any photos taken by us of any of ARD Event Decor's Rental Items or (with permission from both the Client and Photographer) by the official photographer for use in ARD's marketing purposes. The Client also agrees to allow ARD Event Decor the ability to publish any positive feedback the Client shares with us. Where Rental Items are featured in any publication, the Client agrees to credit ARD Event Decor as the owner of the items. Where Rental Items are provided for free in exchange for marketing, photoshoot, promotional event or other, ARD Event Decor must be credited in any photos published in print, online or on social media and where possible, verbally at the event itself.
  • Governing Law: The Agreement of Services and these Terms and Conditions shall be construed in accordance with and governed by the laws of the State of Maryland, without regard to its conflicts-of-laws rules or principles. All actions or proceedings arising directly or indirectly here from or related hereto shall be litigated only in the courts of Prince George's County in the State of Maryland. The Client and ARD Event Decor hereby consent to the jurisdiction and venue of such courts.
  • Entire Agreement of Services: The Client and ARD Event Decor hereby agree that this Agreement of Services constitutes the entire Agreement between Client and ARD Event Decor and no prior or contemporaneous oral or written statement, correspondence, sample or other terms, quotations, or understandings shall modify, alter, or in any way affect the terms thereof.

The Client is responsible for supervising all use and preventing all misuse or abuse of helium, balloons, equipment, and material related to the event. The Client agrees to hold harmless and without liability, ARD Event Decor, LLC and all principals, owners, or employees of said Limited Liability Corporation from any of the following including but not limited to: Helium inhalation or injury from lack of oxygen, slipping on broken balloons, latex allergies, children having access to balloons before, during or after events, children putting balloons in their mouths and choking, physical injuries from popping balloons. ARD Event Decor, LLC shall also be held harmless from any personal or property damage caused or alleged to have been caused by popping balloons, or damage to swimming pool filtration systems caused by broken balloons. All sales and rentals are final.
